Job Description

Our AmLaw clients are looking Private Equity Associate Attorneys to join their team. This role offers the opportunity to work on complex transactions involving private equity sponsors, portfolio companies, and a range of investors. Here’s what you need to know:

Responsibilities:

• Advise private equity clients on all stages of investment, including acquisitions, financings, and exits.
• Draft and negotiate purchase agreements, shareholder agreements, and other investment documents.
• Collaborate with internal teams and external parties to conduct due diligence, ensuring compliance and strategic alignment.
• Assist in structuring deals that maximize client outcomes while maintaining regulatory and legal standards.
• Support portfolio company management in post-acquisition corporate governance and operational matters.

Qualifications:

• JD degree and active bar membership in good standing.
• 3-7 years of experience with a focus on private equity or M&A transactions.
• AmLaw experience preferred.
• Strong background in corporate law, specifically in drafting, negotiation, and deal management.
• Experience working with private equity sponsors and portfolio companies is preferred.
• Exceptional analytical skills and attention to detail.
• Effective communication and ability to work collaboratively with cross-functional teams.
