Description We are looking for a skilled Contracts Attorney to join our team on a long-term contract basis in Livermore, California. In this role, you will focus on reviewing and negotiating commercial contracts, with a particular emphasis on SaaS agreements. This position offers an excellent opportunity to develop expertise in contract management while contributing to a dynamic service-oriented organization. Responsibilities: - Conduct thorough reviews of commercial contracts, including SaaS agreements, ensuring compliance with legal and regulatory standards. - Draft, negotiate, and revise contract terms to align with organizational policies and objectives. - Provide recommendations on contract-related issues and assess appropriate next steps. - Manage the organization and uploading of contracts into the designated repository for easy access and tracking. - Collaborate with internal stakeholders to address contract requirements and resolve potential concerns. - Ensure adherence to HIPAA compliance and other relevant regulatory frameworks in contract management. - Support future high-level contract negotiations as the role evolves. - Maintain accurate documentation and records for all contract-related activities. - Utilize tools like Adobe Acrobat and document management systems to streamline processes. - Stay updated on legal trends and best practices in SaaS and commercial contract law. Requirements - Juris Doctor (JD) degree and active bar membership in good standing. - Strong experience with SaaS agreements and commercial contract negotiation. - Proficiency in utilizing contract management software and tools such as Adobe Acrobat. - Familiarity with HIPAA compliance and other regulatory requirements. - Proven ability to review, draft, and negotiate contracts with a high level of accuracy. - Excellent organizational and communication skills to manage multiple priorities. - Prior experience with case management and document management systems. - Knowledge of legal trends in SaaS, consumer electronics, and civil litigation.
